המאמר בוחן היבטי מס מרכזיים הנובעים מגיוס הון מהציבור באמצעות הפלטפורמה המקוונת המכונה "מימון המונים". נהוג לסווג את הפעילויות השונות הנכללות במסגרת Crowd Funding לארבע קטגוריות, על פי התמורה לה זוכה המממן: (1) השקעה בהון העצמי של הישות המסחרית בתמורה לקבלת זכות להשתתף ברווחי הפעילות המסחרית; (2) העמדת אשראי לחברות או לישויות מסחריות (ובחלק מהמקרים, העמדת אשראי המיר למניות או שטרי הון); (3) מימון פעילויות ללא ציפייה לקבלת החזר ההשקעה (תרומה/"מתנה"); ו (4) מימון פעילויות בתמורה לרכישה מראש של שירות או טובין. המאמר בוחן את היבטי המס העיקריים הרלוונטיים בכל אחת מהקטגוריות האמורות.<br><br>In recent years, the phenomenon of crowdfunding (raising loans from the public also known as peer-to-peer lending) has gained great popularity around the world. This is actually a partial answer given to entrepreneurs and enterprises, usually at the beginning of their journey, who need capital to finance their activities but are unable or unwilling to raise it from skilled players in the credit markets or the capital markets. Beyond the potential of saving financing costs, crowdfunding is based on a broader concept, which is about the "wisdom of the crowd". This concept assumes that, under certain conditions, the wisdom of the crowd is greater than the wisdom of the individual expert. In our case, not only is raising small amounts from a large public of investors to finance a particular venture may be cheaper than raising the same amount from one player or from a small number of investors/lenders but raising the capital from a large group of investors from the public may provide additional benefits beyond the benefit that the venture will derive from raising that capital from a limited number of investors/lenders. The article explores the tax implications that result from crowdfunding.
