סוגיית מיסוי עסקאות למכירת נכסים שהתמורה בגינם משתלמת לשיעורין, הינה סוגיה מורכבת בעלת השלכות שונות הן מתחום מס ההכנסה או מס שבח מקרקעין, לפי העניין, והן מתחום מס ערך מוסף. בחינת השלכות המס בעסקאות המתבצעות בין תושבי ישראל למכירת נכסים (שאינם נכסי מקרקעין), שהתמורה בגינם משתלמת במשך מספר שנות מס, טרם זכתה לדיון ממצה בבתי המשפט ועוד פחות מכך בנוגע לעסקאות מכר המתבצעות בין תושב ישראל לבין תושב חוץ (בין אם תושב החוץ מוכר את הנכס ובין אם תושב החוץ רוכש את הנכס נשוא עסקת המכר). מאמר זה סוקר את היבטי המס המרכזיים בעסקאות מכר בהן התמורה ודאית, אך משתלמת לשיעורין, ואינה תלויה בהתקיימות תנאי מתלה לביצועה.<br>The issue of taxation of transactions for the sale of assets for which the consideration is paid in installments is a complex issue with different consequences including personal income tax, or real estate capital gain tax, as well as value-added tax. In our opinion, the examination of the tax implications of transactions carried out between Israeli taxpayers regarding the sale of assets (that are not real estate assets), the consideration for which is paid during a period of several taxable years, has not yet received an exhaustive discussion in the Israeli courts, and even less so regarding sales transactions carried out between Israeli taxpayers and foreign taxpayers (whether the foreign resident sells the property and whether the foreign resident purchases the property that is the subject of the sale transaction). The article therefore focuses on Israeli implications that arise from the disposition of assets in which the consideration is certain and paid in installments.
