האם הקודקס האזרחי אימץ את המבחן הנכון לסיכול חוזה? – ניתוח תאורטי ודוקטרינרי

<b>תקציר בעברית:</b> עילת הסיכול מאפשרת לצד לחוזה להשתחרר מחיובי החוזה, משהתרחש מאורע חריג שמונע את ביצוע החוזה או הופך אותו לשונה מהותית. בתי המשפט פירשו את סעיף 18 לחוק החוזים (תרופות) באופן שהפך את עילת הסיכול לאות מתה בדין הישראלי. במסגרת הקודקס האזרחי החדש, אשר נמצא בהליכי חקיקה בכנסת, מוצע לערוך שינוי יסודי ביחסו של הדין לעילת הסיכול. ההצעה מבקשת "להחיות" את דין הסיכול, באמצעות עיצוב מבחן חדש לתחולת העילה ולהשתחררות מן האחריות החוזית. רשימה זו מבקשת לדון במבחן המוצע לתחולתה של עילת הסיכול באמצעות ניתוח של היסודות התאורטיים שעליהם מתבססת הדוקטרינה החדשה. הניתוח התאורטי מעלה כמה תובנות חדשות. ראשית, בתי המשפט בישראל פירשו את המבחן לעילת הסיכול באופן שמבטא תפיסה שמרנית, שלפיה האחריות החוזית היא אחריות מוחלטת וללא סייגים. שנית, כדי להרחיב את ההכרה בעילת הסיכול, אימצו מנסחי הקודקס מבחן חדש, אך מבחן זה מבוסס על תאוריה המצמצמת משמעותית את עילת הסיכול. שלישית, המבחן שנבחר רחב יותר מן התאוריה שעליה הוא מבוסס, זאת בשל הרחבת שיקול הדעת השיפוטי והתבססות על שיקולי צדק בלתי-מוגדרים. המאמר מבקר בחירה זו ומציע מבחנים חלופיים. <b>English Abstract: </b>The frustration of contracts doctrine excuses parties to a contract from fulfilling their obligations under a contract on the grounds of extraordinary events that prevent the execution of the contract or materially change it. Israeli courts have interpreted Section 18 of the Contract (Remedies For Breach of Contracts) Law in a way that deprives this section of any substance. The new civil code, currently in the process of legislation in the Knesset, seeks to fundamentally revise the doctrine of frustration by applying a new test that aims to resuscitate the doctrine. This article discusses the proposed new test for asserting frustration and analyses the theoretical foundations upon which it will be based. Several fresh insights are put forward. First, the courts follow a very conservative interpretive approach under which contractual liability is absolute. Second, in order to extend the recognition accorded to the doctrine of frustration, the authors of the proposal have framed a new test; however, one that is based on a theory that significantly reduces the scope of the frustration claim. Third, unlike the theory upon which it is founded, the proposed test provides for relatively broad recognition of the doctrine of frustration by expanding judicial discretion and reliance on undefined considerations of justice. This article criticizes this choice, and offers alternative tests.
